Who Has Lien Rights in Mississippi

A written contract isn't required to have a lien right. Mississippi recognizes oral contracts that can be performed within a year. Lien rights extend only two tiers deep:

  • Prime contractors have lien rights.
  • First-tier subcontractors have lien rights.
  • Suppliers or sub-subcontractors working under a first-tier subcontractor have lien rights.
  • Below that tier, there are no lien rights at all.

Notice and Licensing Requirements

The 60-Day Lien Waiver Trap

Mississippi's standard lien waiver and release forms include notice language stating that once signed and submitted, you are conclusively deemed paid in full 60 days after the date on the form, even if you haven't actually received payment, unless you file an Affidavit Of Nonpayment or a Claim of Lien before that window closes.

This trips up more contractors than the standard 90-day filing deadline. Calendar every progress and final payment waiver the moment you sign it, with a reminder around the 30-day mark, so you have time to act before day 60 if payment hasn't landed.

Filing Deadlines You Need to Know

Liens and affidavits of nonpayment are filed at the Chancery Clerk's office in the county where the project sits. Once filed, you have two business days to deliver notice and a copy to the owner or prime contractor.

If you proceed to a lawsuit, a Lis Pendens Notice must be filed in the land records at the same time as your payment or lien action. Mississippi courts have invalidated liens where this notice was filed even slightly late, and it applies even if the lien has already been bonded off.

You then have 180 days from your original lien filing date to file a payment action, or you lose lien rights entirely. If the owner files a notice of contest of lien within seven days of your filing, that window shrinks to just 60 days, which is why solid documentation matters well before you ever need it.

Canceling Your Lien Once You Are Paid

Once you've been paid, canceling the lien isn't optional housekeeping. If the owner or prime contractor sends a written demand to remove a satisfied lien and you don't act within 15 days, liquidated damages of $500 per day begin accruing starting on day 16, plus reasonable attorney's fees and costs.

Payment Bond Claims in Mississippi

Bond claims carry fewer timing traps than liens, but the rules still depend on tier:

  • First-tier subcontractors only need to track the one-year deadline to file suit from their last date of work.
  • Second-tier subcontractors and suppliers to a subcontractor must first give the prime contractor written notice within 90 days of their last furnished labor or materials, or the bond claim is lost entirely.
